Note: these terms are published for transparency and apply to all hires unless varied in writing. They have been prepared carefully but are not a substitute for legal advice on a specific contract.
1. Definitions
"BOXD" means BOXD Hire Ltd of Abbey Road Business Park, Pity Me, Durham DH1 5JZ. "Hirer" means the person or company hiring the Unit. "Unit" means the welfare unit and its contents and equipment as delivered. "Hire Period" means the period from delivery (or collection by the Hirer) until the Unit is collected by BOXD or returned. "Site" means the location stated on the quotation.
2. Quotations and orders
- Quotations are fixed weekly rates, exclusive of VAT, valid for 30 days, and based on the Site postcode and access information supplied by the Hirer.
- An order is accepted when BOXD confirms it in writing (email counts). Acceptance is subject to unit availability.
- If access information proves materially wrong on delivery (for example the HIAB cannot stand or reach safely), BOXD may charge an aborted delivery fee and re-quote.
3. Hire period and charges
- Hire is charged weekly. Part weeks are charged as full weeks unless agreed otherwise.
- Hire charges run until the Hirer gives notice to off-hire and the Unit is available for collection. Off-hire notice must be given by email to hire@boxdhire.co.uk.
- The quoted rate includes delivery, scheduled servicing and collection as set out in the quotation. Additional call-outs caused by misuse, damage or blocked access are chargeable.
- Invoices are payable on the terms stated on the invoice. BOXD may suspend servicing or recover the Unit if invoices are overdue.
4. Delivery, siting and access
- The Hirer must provide safe, suitable access for a HIAB delivery vehicle, including adequate ground bearing, standing room for the vehicle and clearance from overhead services. Siting position must be level, firm and agreed before the lift.
- The Hirer is responsible for identifying underground and overhead services at the siting position and for any permits, permissions or road closures the Site requires.
- BOXD drivers and operators may refuse to deliver, lift or site a Unit where they judge it unsafe to do so. Judgement of the operator on the day is final.
- Once sited, the Unit must not be moved by anyone other than BOXD, except a towable Unit moved by the Hirer in accordance with clause 7.
5. Hirer’s obligations
- Use the Unit only for its intended purpose as welfare facilities, and only by persons who have been shown the user information provided at handover.
- Keep the Unit secure when the Site is unattended, using the locks provided.
- Keep the area around the Unit clear, ventilated and free of combustible materials, and do not obstruct generator exhausts or vents.
- Not modify, repair, or connect anything to the Unit’s systems without BOXD’s written agreement.
- Report faults, damage or suspected safety issues to BOXD immediately and take the affected equipment out of use until BOXD confirms otherwise.
- Incorporate the Unit into the Site’s own risk assessments and inductions in accordance with clause 8.
6. Risk, loss and damage
- Risk in the Unit passes to the Hirer on delivery and remains with the Hirer until collection. Title remains with BOXD at all times.
- The Hirer is liable for loss of or damage to the Unit during the Hire Period, fair wear and tear excepted, up to its full replacement value, and for continuing hire charges while a damaged Unit is repaired or replaced.
- The Hirer must insure the Unit for its full replacement value against theft and damage for the Hire Period, and provide evidence of insurance on request.
- Graffiti, contamination and misuse requiring specialist cleaning are chargeable at cost.
7. Towable units
- Where the Hirer tows a Unit, the Hirer is responsible for ensuring the towing vehicle, driver licence entitlement, hitch, breakaway connection, lights and tyres are lawful and suitable, and for carrying out the pre-tow checks in the handover information.
- Towable Units must only be moved on level, firm ground, uncoupled with the corner steadies deployed, and never moved with persons inside or systems running.
- The Hirer is liable for the Unit whilst in transit under the Hirer’s control, including road traffic incidents.
8. Health, safety and risk assessments
- BOXD provides generic risk assessment information and user instructions for each Unit type, summarised at boxdhire.co.uk/risk-assessments and issued in full with each hire.
- These are generic assessments of the Unit and its systems. They do not, and cannot, assess the Hirer’s Site. The Hirer remains responsible for site-specific risk assessment under the Management of Health and Safety at Work Regulations 1999 and, where applicable, CDM 2015, including siting, access routes, fire arrangements and the interaction of the Unit with other Site activities.
- The Hirer must ensure all users are inducted on the Unit’s user information before use, and that the Unit is included in the Site’s fire and emergency arrangements.
- Only fuels and consumables specified in the handover information may be used. Refuelling must follow the procedure in the user information: engine off, cooled, no smoking, spill kit awareness.
9. Servicing and waste
- Scheduled servicing, including toilet waste removal and consumable top-ups, is carried out at the frequency stated in the quotation. The Hirer must ensure access for the service vehicle on scheduled days; missed services due to blocked access are chargeable to reattend.
- Waste is removed and disposed of by or on behalf of BOXD in accordance with applicable waste regulations. Nothing other than intended sanitary waste may be introduced into the Unit’s systems.
10. Liability
- Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.
- Subject to that, BOXD is not liable for indirect or consequential loss, loss of profit, or delay costs arising from late delivery, breakdown or servicing, and BOXD’s total liability under a hire is limited to the hire charges paid for that hire.
- BOXD is not liable for failure caused by events outside its reasonable control, including extreme weather, road closures and fuel supply disruption, and will resume performance as soon as reasonably possible.
11. Termination
Either party may end a hire by written notice as set out in clause 3. BOXD may terminate immediately and recover the Unit if the Hirer breaches these terms materially, fails to pay, or if the Unit is at risk of damage, loss or unsafe use. The Hirer must provide access for recovery.
12. General
These terms, together with the quotation, are the whole agreement for the hire and take precedence over any terms the Hirer seeks to impose. Variations must be agreed in writing. If any clause is found unenforceable the rest remain in force. The contract is governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
